An intellectual property and legal issues course for technology-based entrepreneurs and students pursuing technology commercialization. This course provides students with the knowledge necessary to identify, and plan for legal and proprietary issues particular to new ventures. The course will provide insights into the legal framework of business entities; including: formation; capitalization, employee law and personnel, patents, contracts, licensing and distribution agreements. Emphasis will also be given to intellectual property (IP) issues of technology startups and firms, licensing agreements and assigning patents. Copyrights and trademarks will also be covered in the IP portion of the course.
Course reading handouts and/or cases will be provided and some will be posted to the course website.
Also, required readings will be assigned in the following text which will be on reserve in the UCSB Library or you may want to look into sharing this book among two or more students.
The Entrepreneurs Guide to Business Law, 2nd Edition, by Constance Bagley and Craig Dauchy.

Handouts and readers provided by guest lecturers and websites that will be given to you in class as assignments.
The course will be assessed on the basis of class participation, class project/paper and/or a final examination. Weighting will be as follows – 25% participation, 75% homework/projects/final exam. Graduate students will be given additional project(s) and/or research papers.
